Terms of Service
These Terms cover Suede AI Agent Studio at agents.suedeai.ai (the "Studio"), an early-access Suede AI product operated by JC Investment Group LLC, a Florida limited liability company ("Suede", "we", "us"). By using the Studio or continuing sign-in, you agree to these Terms and our Privacy Policy. Some features are previews, may not be available to every account, and do not create a payment obligation unless a paid checkout or live metered action is enabled.
1. Who can use the Studio
You must be at least 18 to use the Studio. Individuals and businesses may use it. If you act for a business or another organization, you confirm that you are authorized to agree on its behalf.
2. Workspaces and accounts
- Anonymous workspaces. You can explore and build without creating an account. Your browser holds a private workspace key. Anyone with that key may be able to control the workspace, so protect it.
- Signed-in accounts. Signing in with Suede may associate your browser workspace, flows and credit with your account.
- Publishing and sharing. Listing an agent publicly requires sign-in. An unlisted agent is not in the public directory, but anyone with its link may be able to call it.
- Keep your login, workspace keys and connected-service credentials secure. You are responsible for actions taken using them.
3. Plans, usage credit and fees
- Early access and free previews. You can explore, edit and use eligible dry-run previews without a usage charge. Live model calls, paid tools and premium data may incur charges when enabled.
- Subscriptions. Where offered, Studio software plans are billed monthly through Stripe, renew until canceled, and include the client capacity and usage credit shown at checkout. You can manage or cancel a subscription through the billing portal; a period-end cancellation stops the next renewal. Existing subscribers keep the terms agreed for their plans.
- Usage credit. Paid monthly plan credit and previously purchased prepaid credit remain in your balance until spent, without a monthly reset. Promotional starter credit may have the expiration shown when granted. Credit is accounted for in US-dollar-equivalent units.
- Run and provider fees. A metered workspace run pays actual model and paid-tool usage plus the applicable plan's platform fee (the base run fee is 20%). Third-party data or communication actions may include a separate provider-cost markup (30% at base rates). Gateway model calls outside a run have a 20% base markup. Eligible plans can have lower rates. Current rates and examples are on the pricing page.
- Defined-search packages. Premium search packages fund only the defined search product shown at purchase; they do not fund general workflow runs. A fixed quote shown before execution controls that purchase.
- Prepay fee. Where a credit top-up is available to your account, each purchase has a prepay fee of 3% (plus $0.30 on packs of $20 and up), shown in the all-in price before payment. For example, $20 of credit costs $20.90. The fee itself is not credit.
- Consumption and failed runs. A run that consumes no paid services costs nothing. Failed live runs can still consume billable model or tool usage. Concurrent or final charges can leave a negative usage balance, in which case further paid runs may pause until the balance is restored.
- Price updates. Prices for future purchases and usage may change. We will show the applicable price at checkout or in the pricing information before the new charge. Completed charges are not repriced.
4. Refunds and cancellations
- Prepaid credit. Credit purchases are non-refundable once issued except where required by law or we authorize a correction. The prepay fee is not refunded. Any approved card refund is handled through Stripe and reverses corresponding granted credit.
- Software subscriptions. Cancel through your billing portal to stop future renewals. Canceling does not automatically refund an already paid billing period. Contact support to resolve a billing error.
- On-chain payments. Confirmed USDC transfers and x402 settlements cannot be reversed by Suede. A paid agent call that has started is not automatically refunded if execution ends with an error.
- Calls paid with credit. The listed amount is returned if a call never begins execution. Once execution begins, the call is paid; disputes or unexpected failures may be reviewed through support.
5. Publishing and selling agents
- Creator share. Suede's current platform take on a settled paid agent call is 0% of the listed sale price. The creator still pays applicable costs of running the agent from their own available credit.
- Configure a payout destination. When on-chain settlement is enabled, USDC on Base is sent to the configured creator or employee wallet. If there is no saved valid wallet, a configured Suede platform wallet may be the fallback. Those platform-routed payments are not forwarded automatically. Set and verify your payout wallet before accepting paid calls, and contact support about any payment routed to the platform.
- Calls purchased with Suede credit. A credit-funded sale can be recorded as owed to the creator's payout address, but it does not trigger an automatic transfer. Contact support to reconcile such earnings; there is no automated payout schedule.
- Responsibilities and availability. Creators are responsible for truthful listings, the rights to their inputs, taxes and their wallet credentials. Publishing an agent does not itself turn on payment collection. Suede may unlist or disable an agent that is unsafe, misleading or incompatible with the service.
6. Your materials, flows and outputs
- Your content. You retain your rights in prompts, files, content and original flows you create. Suede and third parties retain rights to their own software, templates and components. You grant Suede permission to store, process and display your materials as necessary to provide and operate the Studio.
- Shared agents. When you publish or list an agent, you allow Suede to display its public listing and make it callable as configured. Some public templates may expose a downloadable flow graph; do not publish private instructions or secrets in anything you make public.
- Generated outputs. You may use outputs from runs you initiate, including paid calls to another creator's agent, subject to applicable rights and provider restrictions. Creators retain their underlying agents and reusable workflow material. AI-generated outputs may not qualify for exclusive ownership. Review results before relying on them. We do not use your submitted inputs to train AI models.
7. Acceptable use
Do not use the Studio to violate the law or others' privacy or intellectual property rights; exploit or sexualize minors; create non-consensual sexual material; threaten or harass people; impersonate others deceptively; commit fraud; distribute malicious software; overload or attack the service; or evade its security and rate limits. We may restrict a workspace, remove content or unlist an agent when needed to address abuse, safety or security concerns, without first issuing a warning. Use an agent's Report button or contact support to report harmful content.
8. Outside services and blockchains
The Studio uses third-party services, including hosting, storage, payment processors, AI model providers and communication or data providers. Their availability and separate terms may affect features. Stripe handles card charges, and supported marketplace payments settle in USDC on Base. Public blockchain transactions are visible and cannot be deleted or reversed by Suede.
9. Privacy and deletion
See the Privacy Policy for how the Studio handles data. You can request Studio workspace deletion using the account deletion page, including help verifying an anonymous workspace. Never email a private workspace key, password or access token. Studio data and shared Suede account data have separate deletion paths. We may retain necessary payment, fraud-prevention and security records, and cannot delete transactions from public blockchains.
10. Suspension and termination
You may stop using the Studio and request deletion at any time. We may suspend access, unlist agents or close a workspace to address abuse, nonpayment, security or material service changes. Where practical, we will explain an account action. Unused purchased or paid-plan credit is not automatically forfeited solely because access is suspended; contact support to reconcile any remaining balance, subject to the refund rules above.
11. Early-access service and disclaimers
The Studio is an evolving early-access product. Features, integrations and availability can change, and some examples or previews may be simulated. The Studio is provided "as is" and "as available" without warranties to the extent permitted by law. AI output can be inaccurate or unsuitable for a particular purpose. You are responsible for reviewing your agents and their outputs before production use.
12. Limitation of liability
To the maximum extent permitted by law, Suede and its affiliates, officers, employees and agents are not liable for indirect, incidental, special, consequential or punitive damages. Our total liability for claims relating to the Studio will not exceed the greater of (a) the amounts you paid Suede for the Studio in the 12 months preceding the claim or (b) $100.
13. Governing law and disputes
Florida law governs these terms, without regard to conflict-of-laws rules. Disputes will be heard in the state or federal courts located in Florida, and both sides consent to the jurisdiction of those courts. To the extent permitted by law, both sides waive a jury trial. These terms do not add mandatory arbitration or a class-action waiver.
14. Changes to these terms
We may update these terms as the Studio develops. The effective date will change when the terms change. For material updates, we will provide additional notice, such as an in-product notice or an email where an address is available, before the update takes effect when reasonably possible. Continued use after an update takes effect means acceptance of the updated terms.
